Terms and Conditions Pine Pollen New Zealand Limited (trading as Biogold) Effective date: 28 March 2026 | Last updated: 28 March 2026 --- 1. Acceptance of Terms These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "your", "Customer") and Pine Pollen New Zealand Limited (NZBN pending), trading as Biogold ("we", "us", "our", "Biogold", "the Company"), governing your access to and use of the website biogoldnz.com (the "Site"), all products sold through the Site (the "Products"), and all related services including but not limited to email communications, SMS communications, subscription services, loyalty programmes, referral programmes, and customer support (collectively, the "Services"). By accessing or browsing the Site, creating an account, placing an order, subscribing to any of our communications or subscription services, participating in any promotion, survey, or programme, or otherwise engaging with us or our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease using the Site and must not place any orders or use any of our Services. These Terms apply to all users of the Site, including without limitation browsers, customers, subscribers, merchants, vendors, and contributors of content. We reserve the right to refuse service to anyone for any reason at any time, subject to applicable law. Your continued use of the Site following the posting of any changes to these Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically for updates. --- 2. Definitions In these Terms, unless the context otherwise requires: - "Business Day" means any day other than a Saturday, Sunday, or public holiday in New Zealand. - "Consumer Guarantees Act" means the Consumer Guarantees Act 1993 (New Zealand) and any amendments thereto. - "Content" means all text, images, photographs, graphics, video, audio, data, software, code, designs, logos, trademarks, trade names, trade dress, layouts, and all other material and information available on or through the Site. - "Fair Trading Act" means the Fair Trading Act 1986 (New Zealand) and any amendments thereto. - "Intellectual Property" means all patents, trademarks, service marks, trade names, domain names, logos, designs, copyrights, trade secrets, know-how, formulations, proprietary processes, and all other intellectual property rights of any nature, whether registered or unregistered, anywhere in the world. - "Order" means a request by you to purchase one or more Products through the Site. - "Products" means all goods offered for sale through the Site, including but not limited to pine pollen tincture in all sizes and configurations. - "Privacy Policy" means our Privacy Policy as published on the Site and updated from time to time. - "Recharge" means the third-party subscription management platform used by us to administer subscription orders. - "Services" means all services provided by us through or in connection with the Site, including but not limited to order fulfilment, customer support, email and SMS communications, subscription management, loyalty programmes, and referral programmes. - "Site" means the website located at biogoldnz.com and all associated subdomains, mobile-optimised versions, and successor websites. - "Subscription" means a recurring order arrangement for Products managed through Recharge. --- 3. Products and Product Information 3.1 General Our Products are dietary supplements. They are not medicines, pharmaceutical products, or therapeutic goods (unless separately registered as such in a particular jurisdiction). All Products are manufactured in accordance with applicable New Zealand food safety and dietary supplement regulations. 3.2 Not medical advice Nothing on the Site, in our marketing materials, in our email or SMS communications, or in any other materials provided by us constitutes medical advice, diagnosis, treatment, or a recommendation for any specific health condition. All information provided is for general informational and educational purposes only. Our Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition. No statements made by us about our Products have been evaluated or approved by Medsafe, the New Zealand Ministry of Health, the Therapeutic Goods Administration, the United States Food and Drug Administration, or any other regulatory authority, unless explicitly stated otherwise. 3.3 Consult your healthcare provider You should always consult a qualified healthcare professional before starting any dietary supplement, particularly if you are pregnant, breastfeeding, taking medication, have a pre-existing medical condition, are scheduled for surgery, or have any concerns about your health. You should not use our Products as a substitute for professional medical advice, diagnosis, or treatment. You should never disregard professional medical advice or delay seeking it because of information you have read on our Site or in our communications. 3.4 Individual results Results from the use of our Products may vary from person to person. Any testimonials, case studies, reviews, or results displayed on the Site or in our marketing materials represent individual experiences and are not guaranteed. Past results are not a guarantee of future outcomes. We make no representation or warranty that you will achieve any particular result from using our Products. 3.5 Allergens and sensitivities Our Products contain natural ingredients including pine pollen and ethanol (alcohol). If you have a known allergy or sensitivity to pine pollen, tree pollen, any plant-based products, or alcohol, you should not use our Products without first consulting your healthcare provider. You acknowledge and accept full responsibility for determining whether our Products are suitable for you, having regard to any allergies, sensitivities, medical conditions, or medications. 3.6 Product descriptions and accuracy We make reasonable efforts to display and describe our Products accurately on the Site, including product images, descriptions, ingredients, and pricing. However, we do not warrant that Product descriptions, images, colours, or other Content on the Site are accurate, complete, current, or error-free. Slight variations in colour, packaging, labelling, or presentation may occur. If a Product you receive is materially different from its description on the Site, your sole remedy is set out in Section 6 (Returns and Refunds). --- 4. Ordering and Payment 4.1 Placing an order By placing an Order through the Site, you are making an offer to purchase the Products in your Order. All Orders are subject to acceptance by us. We reserve the right to accept or decline any Order, or any part of an Order, for any reason, including but not limited to: Product unavailability, errors in pricing or Product information, suspected fraud or unauthorised activity, excessive order quantities, or any other reason at our sole discretion. An Order is not accepted until we issue an order confirmation email, which constitutes our acceptance of your offer. 4.2 Pricing All prices displayed on the Site are in New Zealand Dollars (NZD) unless otherwise stated and are inclusive of Goods and Services Tax (GST) where applicable. We reserve the right to change prices at any time without prior notice. The price charged for a Product will be the price displayed on the Site at the time the Order is placed, subject to correction of any pricing errors. In the event of a pricing error, we may, at our sole discretion, cancel the Order and refund any amounts charged, or contact you to request the correct price before processing the Order. 4.3 Payment methods We accept the following payment methods: major credit and debit cards (Visa, Mastercard, American Express), PayPal, Afterpay, Shop Pay, and such other methods as may be displayed at checkout from time to time. All payments are processed by third-party payment processors. By providing payment information, you represent and warrant that you are authorised to use the payment method provided. We are not responsible for any fees charged by your bank, payment provider, or Afterpay in connection with your purchase. 4.4 Afterpay If you choose to pay using Afterpay, your purchase is subject to Afterpay's terms and conditions in addition to these Terms. Afterpay approval is at Afterpay's sole discretion. We receive payment in full from Afterpay at the time of purchase and are not a party to your instalment arrangement with Afterpay. Any dispute regarding Afterpay payment instalments, fees, or charges must be directed to Afterpay. 4.5 Order cancellation Once an Order has been placed and confirmed, you may request cancellation by contacting our customer support team promptly. If your Order has not yet been dispatched, we will use reasonable efforts to cancel it and issue a full refund. Once an Order has been dispatched, it cannot be cancelled and must be dealt with under Section 6 (Returns and Refunds). We reserve the right to cancel any Order at any time prior to dispatch for any reason, in which case a full refund will be issued. 4.6 Quantity limits We reserve the right to limit the quantity of any Product available for purchase, to limit the quantities available to any individual customer, household, or Order, and to refuse or cancel Orders that in our sole judgment appear to be placed by resellers, dealers, or distributors. --- 5. Shipping and Delivery 5.1 Shipping coverage We currently ship to addresses within New Zealand only, unless otherwise stated on the Site. We may expand our shipping coverage from time to time. Any international shipping options, if offered, will be subject to additional terms and conditions displayed at the time of checkout. 5.2 Shipping timeframes Orders are processed and dispatched on Business Days only. Orders placed on weekends or public holidays will be processed on the next Business Day. Estimated delivery timeframes are 1 to 3 Business Days for standard urban addresses and 2 to 5 Business Days for rural delivery addresses. These timeframes are estimates only and are not guaranteed. We are not liable for any delays in delivery caused by courier services, incorrect address information provided by you, weather events, public holidays, or any other circumstances beyond our reasonable control. 5.3 Courier service We use Courier Post (New Zealand Post) and such other courier services as we may select from time to time. The choice of courier service is at our sole discretion. 5.4 Risk of loss Risk of loss and damage to Products passes to you upon delivery of the Products to the delivery address specified in your Order. "Delivery" means the point at which the courier delivers the Products to the specified address or leaves the Products at the address in accordance with the courier's standard delivery procedures (including, without limitation, leaving the parcel at the door, in a safe place, or with a neighbour where the courier deems appropriate). We are not responsible for Products that are lost, stolen, or damaged after delivery. 5.5 Delivery address It is your responsibility to provide a complete and accurate delivery address. We are not liable for failed, delayed, or misdirected deliveries resulting from incorrect or incomplete address information. If a parcel is returned to us due to an incorrect address, we may re-ship the Order at your cost, or issue a refund less the original and return shipping costs, at our sole discretion. 5.6 Free shipping Where free shipping is offered, it applies to standard delivery within New Zealand only, unless otherwise stated. We reserve the right to modify or withdraw free shipping offers at any time without notice. --- 6. Returns and Refunds 6.1 60-day money-back guarantee We offer a 60-day money-back guarantee on your first purchase. If you are not satisfied with your Product for any reason, you may request a refund within 60 calendar days from the date you received the Product ("Guarantee Period"), subject to the conditions set out in this section. This guarantee applies to your first order of each Product only and does not apply to subsequent repeat purchases, subscription orders, or bulk orders, unless otherwise agreed in writing. 6.2 Return process To initiate a return, you must: - Contact our customer support team at customersupport@pinepollen.co.nz within the Guarantee Period. - Complete the return form provided by our customer support team. - Return the Product (including any used or remaining portion) to: Biogold Returns, PO Box 517, Whakatane 3120, New Zealand. - Use a trackable courier service for the return. We are not responsible for returned Products that are lost in transit. We strongly recommend using a tracked and signed-for courier service. 6.3 Return shipping costs You are responsible for all return shipping costs. Return shipping costs are non-refundable. Original shipping costs (if any were charged) are also non-refundable. 6.4 Refund processing Once we receive your returned Product and verify that your return meets the conditions of this section, we will process your refund to the original payment method used for the purchase. Refunds may take up to 10 Business Days to process from the date we receive your returned Product. We are not responsible for any delays caused by your bank or payment provider in crediting the refund to your account. 6.5 Exclusions Returns and refunds will not be provided where: - The return request is made after the Guarantee Period has expired. - The Product was not purchased directly from us through the Site. - The Product has been tampered with, contaminated, or damaged through misuse, negligence, or failure to follow usage instructions. - The return is a subsequent purchase and not your first order of that Product (unless the return is for a reason covered by the Consumer Guarantees Act). 6.6 Consumer Guarantees Act rights Nothing in this section limits or excludes any rights you may have under the Consumer Guarantees Act 1993 that cannot be lawfully excluded. If you are a "consumer" as defined in that Act, our Products come with guarantees that cannot be excluded, including that Products will be of acceptable quality, fit for purpose, and match their description. If a Product fails to meet a consumer guarantee, you may be entitled to a remedy (repair, replacement, or refund) regardless of the Guarantee Period set out above. This section sets out our voluntary guarantee, which is in addition to, and does not limit, your statutory rights. --- 7. Subscriptions 7.1 Subscription service We offer a subscription service for recurring Product deliveries, managed through our third-party subscription platform, Recharge. By subscribing, you authorise us to charge your selected payment method at the applicable recurring interval for the subscription price of the Products plus any applicable shipping costs. 7.2 Subscription pricing Subscription orders receive a discount (currently 15% off the standard retail price, though the exact discount may vary and is as displayed at the time of subscription enrolment). We reserve the right to change subscription pricing at any time. If we increase the subscription price, we will provide you with reasonable notice prior to the next billing date. Your continued subscription after any price change constitutes your acceptance of the new price. 7.3 Billing frequency Your subscription will be billed at the frequency you select during enrolment (for example, every 30, 60, or 90 days, or such other intervals as may be available). You may change your billing frequency through your Recharge account portal at any time before the next billing date. 7.4 Cancellation, pausing, and skipping There is no lock-in period or minimum commitment for subscriptions. You may cancel, pause, or skip a subscription delivery at any time through your Recharge account portal or by contacting our customer support team. Cancellation, pausing, or skipping must be actioned before the next billing date to avoid being charged for the next cycle. If you cancel after you have been charged for a cycle, that order will be fulfilled and no refund will be provided for that cycle (unless the Product is returned in accordance with Section 6). 7.5 Failed payments If a payment for a subscription order fails, we (or Recharge on our behalf) may attempt to re-charge your payment method one or more times. If payment continues to fail, your subscription may be paused or cancelled automatically. We are not liable for any disruption to your subscription deliveries caused by payment failures. It is your responsibility to ensure that your payment information is current and that sufficient funds or credit are available. 7.6 Subscription terms Your use of the subscription service is also subject to Recharge's terms of service. In the event of any conflict between these Terms and Recharge's terms as they apply to subscription management functionality, these Terms will prevail to the extent of the conflict in relation to the Products and our obligations to you. --- 8. Discount Codes and Promotions From time to time, we may offer discount codes, promotional offers, or special pricing ("Promotions"). The following conditions apply to all Promotions unless otherwise stated: - Only one discount code may be applied per Order. - Discount codes cannot be applied to subscription orders (which already receive a subscription discount) unless the specific Promotion expressly states otherwise. - Discount codes have no cash value and cannot be exchanged for cash, credit, or any other form of consideration. - Discount codes may be subject to minimum order values, specific Products, or other conditions as specified at the time of the Promotion. - We reserve the right to withdraw, modify, or cancel any Promotion or discount code at any time without prior notice and without liability. - Discount codes are non-transferable unless expressly stated otherwise. - If we reasonably believe that a discount code is being used fraudulently, in breach of its terms, or in a manner inconsistent with its intended purpose, we may void the discount code and cancel any associated Orders. --- 9. Intellectual Property 9.1 Ownership All Content on the Site, including but not limited to text, images, photographs, graphics, logos, icons, audio, video, software, data compilations, page layouts, underlying code, and all Intellectual Property rights therein, are owned by or licensed to Pine Pollen New Zealand Limited. All rights are reserved. The Biogold name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Pine Pollen New Zealand Limited or its affiliates. You must not use such marks without our prior written permission. 9.2 Limited licence We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for personal, non-commercial purposes only, in accordance with these Terms. This licence does not include any right to: resell or make commercial use of the Site or its Content; collect or use any product listings, descriptions, images, or prices for any commercial purpose; make any derivative use of the Site or its Content; download or copy account information for the benefit of any third party; or use data mining, robots, scraping, or similar data gathering or extraction tools. 9.3 User content If you submit, upload, post, or otherwise make available any content on the Site or through our Services (including but not limited to product reviews, testimonials, photographs, videos, comments, or survey responses) ("User Content"), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your User Content in any media and for any purpose, including commercial purposes such as advertising and marketing. You represent and warrant that you own or have the necessary rights to grant this licence and that your User Content does not infringe the Intellectual Property or other rights of any third party. --- 10. User Conduct You agree that in using the Site and our Services, you will not: - Use the Site for any unlawful purpose or in violation of any applicable local, national, or international law or regulation. - Impersonate any person or entity, or falsely state or misrepresent your identity or affiliation with any person or entity. - Interfere with, disrupt, or place an undue burden on the Site, its servers, or the networks connected to the Site. - Attempt to gain unauthorised access to the Site, other accounts, computer systems, or networks connected to the Site through hacking, password mining, or any other means. - Use any automated system, including but not limited to robots, spiders, scrapers, or offline readers, to access the Site for any purpose. - Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. - Use the Site to transmit any unsolicited commercial communications (spam). - Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Site, use of the Site, or access to the Site without our express written consent. - Harvest or collect personal information of other users of the Site. - Post or transmit any content that is defamatory, obscene, abusive, threatening, harassing, or otherwise objectionable. - Use the Site to make fraudulent purchases or to engage in any form of fraud. We reserve the right, at our sole discretion, to terminate or suspend your access to the Site and our Services, cancel any Orders, and take any other action we deem appropriate, without notice and without liability, if we reasonably believe you have violated any provision of these Terms. --- 11. Medical and Health Disclaimer This section supplements Section 3 and applies to all aspects of your relationship with us. 11.1 General disclaimer Our Products are dietary supplements intended to support general health and wellbeing. They are not medicines and are not intended to diagnose, treat, cure, mitigate, or prevent any disease, illness, or medical condition. No information provided on the Site, in our packaging, in our marketing materials, or in any communication from us should be interpreted as a claim that our Products can diagnose, treat, cure, or prevent any disease. 11.2 Professional medical advice The information on the Site is provided for general informational purposes only and is not a substitute for professional medical advice. Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition, dietary supplement, or health concern. Never disregard professional medical advice or delay in seeking it because of something you have read on the Site or in any of our communications. 11.3 Assumption of risk You acknowledge that the use of any dietary supplement carries inherent risks. By purchasing and using our Products, you accept full responsibility for any risks associated with their use. You acknowledge that: natural products may cause adverse reactions in some individuals, including allergic reactions; our Products contain ethanol (alcohol) and pine pollen, which may not be suitable for all individuals; results vary from person to person and are influenced by many factors including diet, lifestyle, genetics, age, and overall health; you have consulted or had the opportunity to consult with a qualified healthcare professional before using our Products; and you have reviewed the ingredients list and determined that the Products are suitable for your personal use. 11.4 No practitioner-patient relationship No information on the Site or in any communication from us creates a practitioner-patient, doctor-patient, or therapeutic relationship between you and us, our employees, contractors, or affiliates. We are not healthcare providers. Any health-related content on the Site is for educational purposes only. --- 12. Limitation of Liability 12.1 General limitation To the maximum extent permitted by applicable law, Pine Pollen New Zealand Limited, its directors, officers, employees, agents, contractors, affiliates, suppliers, and service providers (collectively, the "Biogold Parties") shall not be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, business, goodwill, data, or other intangible losses, arising out of or in connection with: - Your use of, or inability to use, the Site, the Products, or the Services. - Any conduct or content of any third party on or in connection with the Site. - Any products or services obtained through the Site. - Unauthorised access to, use of, or alteration of your transmissions or content. - Any adverse reaction, side effect, injury, or health issue arising from your use of the Products. - Any reliance on information, content, or materials available on the Site or in our communications. - Delays or failures in delivery of Products. - Any errors, inaccuracies, or omissions in Product descriptions, pricing, or other Content on the Site. This limitation applies regardless of the theory of liability (whether in contract, tort including negligence, strict liability, statutory liability, or otherwise) and even if any Biogold Party has been advised of the possibility of such damages. 12.2 Maximum liability To the maximum extent permitted by applicable law, the total aggregate liability of the Biogold Parties to you for all claims arising out of or in connection with these Terms, the Site, the Products, or the Services shall not exceed the total amount you have paid to us for Products in the 12 months immediately preceding the event giving rise to the claim. 12.3 Consumer Guarantees Act preservation Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies you may have under the Consumer Guarantees Act 1993 that cannot lawfully be excluded, restricted, or modified. Where the Consumer Guarantees Act applies and cannot be excluded, our liability is limited, to the maximum extent permitted by law, to (at our election): replacing the Products or supplying equivalent products; repairing the Products; refunding the price paid for the Products; or paying the cost of replacing the Products, supplying equivalent products, or having the Products repaired. 12.4 Business customers If you are acquiring Products or Services for the purposes of a business as defined in the Consumer Guarantees Act 1993, you acknowledge that the Consumer Guarantees Act does not apply to the supply of those Products or Services, and the limitations and exclusions of liability in these Terms apply to you in full and without qualification. --- 13. Indemnification You agree to indemnify, defend, and hold harmless the Biogold Parties from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with: - Your use of the Site, the Products, or the Services. - Your breach of these Terms or any applicable law or regulation. - Your violation of any rights of any third party, including Intellectual Property rights and privacy rights. - Any User Content you submit, upload, or make available. - Your misuse of the Products, including use contrary to the directions or warnings provided. - Any claim by a third party arising from your use of the Products, including any adverse health event or allergic reaction. - Any fraudulent, negligent, or wrongful act or omission by you. This indemnification obligation survives the termination of these Terms and your cessation of use of the Site. --- 14. Disclaimer of Warranties 14.1 General disclaimer To the maximum extent permitted by applicable law, the Site, the Products, and the Services are provided on an "as is" and "as available" basis, without any warranties or representations of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, reliability, availability, compatibility, or security. 14.2 Specific disclaimers Without limiting the generality of the foregoing, we do not warrant that: - The Site will be available, uninterrupted, timely, secure, or error-free. - The results obtained from using the Site or the Products will be accurate, reliable, or meet your expectations. - Any defects in the Site will be corrected. - The Site or the servers that make it available are free of viruses or other harmful components. - The Products will achieve any specific result or outcome for you. - Product descriptions, ingredients, or other information on the Site are entirely free from error. 14.3 Consumer Guarantees Act preservation Nothing in this section is intended to exclude, restrict, or modify any guarantees, warranties, or rights you may have under the Consumer Guarantees Act 1993 that cannot lawfully be excluded, restricted, or modified. The disclaimers in this section apply only to the extent permitted by New Zealand law, and your statutory rights as a consumer remain unaffected to the extent they cannot be excluded. --- 15. Privacy Your privacy is important to us. Our collection, use, storage, disclosure, and other processing of your personal information is governed by our Privacy Policy, which is available on the Site and is incorporated into these Terms by reference. By using the Site and our Services, you consent to the collection and use of your personal information as described in the Privacy Policy. We recommend that you review the Privacy Policy carefully before providing any personal information to us. --- 16. Third-Party Links and Services The Site may contain links to third-party websites, platforms, or services that are not owned or controlled by us, including but not limited to payment processors, social media platforms, review platforms, analytics providers, and advertising networks. We are not responsible for the content, privacy practices, terms of service, accuracy, or availability of any third-party website or service. The inclusion of any link on the Site does not imply our endorsement, sponsorship, or recommendation of the linked website or service, or any association with its operators. Your interactions with third-party websites and services, including payment for and delivery of goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and the relevant third party. We are not liable for any loss, damage, or claim arising from your use of any third-party website or service accessed through the Site. --- 17. Modification of Terms We reserve the right to modify, amend, update, or replace these Terms at any time and at our sole discretion. Any modifications will be effective immediately upon posting the updated Terms on the Site. The "Last updated" date at the top of these Terms will be revised to reflect the date of the most recent modification. It is your responsibility to review these Terms periodically. Your continued use of the Site or our Services after any modification constitutes your binding acceptance of the modified Terms. If you do not agree to any modification, your sole remedy is to discontinue use of the Site and our Services. --- 18. Severability If any provision of these Terms is found by any court or tribunal of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision will be severed from these Terms and the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will, to the extent possible, be replaced with a valid and enforceable provision that most closely reflects the original intent and economic effect of the invalid or unenforceable provision. --- 19. Entire Agreement These Terms, together with the Privacy Policy and any other policies or documents expressly incorporated by reference, constitute the entire agreement between you and Pine Pollen New Zealand Limited with respect to the subject matter hereof, and supersede all prior or contemporaneous agreements, understandings, negotiations, representations, and warranties, whether written or oral, relating to such subject matter. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. --- 20. Governing Law and Jurisdiction These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to any principles of conflicts of law. You irrevocably submit to the exclusive jurisdiction of the courts of New Zealand for the resolution of any dispute arising out of or in connection with these Terms, the Site, the Products, or the Services. You waive any objection to the venue or jurisdiction of such courts. Nothing in this section limits our right to take proceedings against you in any other court of competent jurisdiction, nor shall the taking of proceedings in any one or more jurisdictions preclude the taking of proceedings in any other jurisdiction, whether concurrently or not, to the extent permitted by law. --- 21. Force Majeure We shall not be liable for any failure or delay in performing our obligations under these Terms (including but not limited to order processing, Product dispatch, delivery, customer support, or any other aspect of our Services) where such failure or delay results from any cause beyond our reasonable control, including but not limited to: - Acts of God, including earthquakes, floods, storms, volcanic eruptions, tsunamis, and other natural disasters. - Epidemics, pandemics, quarantine restrictions, or public health emergencies. - Fire, explosion, or accidental damage. - War, armed conflict, terrorism, riot, civil unrest, or sanctions. - Government actions, orders, regulations, embargoes, or restrictions. - National or local emergencies. - Labour disputes, strikes, lockouts, or industrial action (whether involving our workforce or any third party). - Disruptions to supply chains, raw material shortages, or manufacturing delays. - Failure or disruption of telecommunications, internet services, IT systems, or utility services. - Failure or delay by courier services, shipping providers, or other third-party service providers. - Import or export restrictions. If a force majeure event continues for more than 60 consecutive days, either party may terminate the affected Order(s) by providing written notice to the other party. In such case, we will refund any amounts paid for Products that have not been dispatched. --- 22. General Provisions 22.1 Assignment You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or sublicense any or all of our rights and obligations under these Terms without restriction and without notice to you. 22.2 No waiver Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorised representative of Pine Pollen New Zealand Limited. 22.3 Headings The headings and section titles in these Terms are for convenience only and have no legal or contractual effect. 22.4 Survival Sections 3 (Products and Product Information), 9 (Intellectual Property), 11 (Medical and Health Disclaimer), 12 (Limitation of Liability), 13 (Indemnification), 14 (Disclaimer of Warranties), 15 (Privacy), 18 (Severability), 19 (Entire Agreement), 20 (Governing Law and Jurisdiction), and this Section 22, together with any other provisions that by their nature should survive, will survive the termination or expiry of these Terms. 22.5 Relationship of parties Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us. You have no authority to bind us in any way. 22.6 Notices We may provide notices to you by email to the address associated with your account, by posting a notice on the Site, or by any other method we reasonably deem appropriate.
